Please read these Terms & Conditions carefully and in their entirety before using admin@quilting.com (hereinafter referred to as the “Site”). The Site and its content are owned by Quilting Dot Com.

PURPOSE:
These Terms & Conditions are here to clearly explain, outline, and layout the rules, terms, and conditions of using, viewing, and/or browsing the Site and/or purchasing or downloading any course, program, service, or product offered on or by us or the Site.

IMPORTANT NOTES:
By using the Site in any capacity, you voluntarily agree to these Terms & Conditions. You agree that you have read, understood, and consented to these Terms & Conditions. If you have any questions, please contact us at ADMIN@QUILTING.COM.
You must be at least 18 years old and be able to consent to these Terms & Conditions. If you are under the age of 18, or you do not agree with these Terms & Conditions as stated herein, please STOP now and do not use this Site or its content. By using the Site, you agree to the Terms & Conditions as stated herein, regardless of whether or not you have read these Terms & Conditions.

These Terms & Conditions contain an Arbitration Clause and require you to dispute or resolve any claim with us through Arbitration. By agreeing to these Terms & Conditions, you agree to the Arbitration Clause in Paragraph No. 18 and voluntarily waive your right to a jury trial.

By proceeding on the Site, you hereby agree to the following:

1. Definitions:

“Company”, “We”, “I”, “Our”, or “Us” means Quilting Dot Com and our website, Quilting.com.

“Content” means any and all written, visual, video, or audio information contained on the Site, including, but not limited to, any and all emails received from Quilting Dot Com, and/or Quilting.com, and any and all written or downloadable material purchased, viewed, or otherwise offered by Quilting Dot Com and/or on Quilting.com, including, but not limited to, blog posts, graphics, newsletters, designs, documents, information, templates and materials.

“Personal Information” means information that can be used on its own or in conjunction with other information to identify, contact, or locate a person, or to identify an individual in context. For example, personal information includes, among other things, your name, address, email address, telephone number, etc.

“Site, Services, and/or Products” means Quilting.com, Content (as defined herein), email list/newsletters, social media posts, blog posts, directory services, guides, forms, worksheets, webinars, website materials, and/or templates available on the Site.

“Site” means Quilting.com and any and all of its associated pages, tabs, landing pages, forms, or sub-pages.

“You” or “Your” means the user, customer, business or viewer of the Site.

“Organization” means a nonprofit organization.

2. Consent:
By using the Site and/or making any Purchase, you implicitly and voluntarily agree to act in accordance with, and abide by, these Terms & Conditions, and our Privacy Policy.

By using the Site and/or making any Purchase, you represent and warrant that you are at least 18 years-old. Any use of, or access to, the Site and its Content by anyone under the age of 18 is unauthorized and in direct violation of these Terms & Conditions and our Privacy Policy.

3. Site Rules:
By using the Site and/or making any Purchase, You hereby agree that You HAVE:
a. Read and understood our Content Guidelines; and
b. Read and understood our User Privacy Policy and/or Business Privacy Policy. If You use the Site outside of the United States, You acknowledge and consent to having Your personal data transferred to and processed in the United States

By using the Site and/or making any Purchase, You hereby agree & consent NOT TO:

  • a. Violate these Terms, and Content Guidelines;
  • b. Abuse, defame, stalk or harass any person or business through or on the Site;
  • c. Post or transmit obscene, offensive, libelous, defamatory, pornographic, or abusive content, as well as content that infringes our intellectual property rights or those of another person, website, or business;
  • d. Solicit personal information from a minor;
  • e. Violate any third party’s right, including but not limited to privacy, copyright, trademark, patent or any other intellectual or property rights;
  • f. Use the Site in any way or for any purpose which violates any law of the United States and the jurisdiction in which you use the Site;
  • g. Post or transmit any “spam” or unwanted, unsolicited content.
  • h. Send surveys, bulk emails or other unwarranted mass messaging, engage in keyword or feature spamming, or otherwise attempt to manipulate the Site’s search results;
  • i. Post fake or copyrighted materials, photographs, or content which do not belong to and/or was created by You;
  • j. Copy, remove, modify, download, share, post, or transmit the Site’s data, businesses and/or our intellectual property in any way that infringes on our or the business’ intellectual property rights;
  • k. Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit the Site or Site content (other than Your content), except as expressly authorized by Quilting Dot Com;
  • l. Record, process, or mine information about Users or third party Content;
  • m. Remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Site, features that prevent or restrict the use or copyright of Content, or features that enforce limitations on the use of the Site.
  • n. Scrape or bulk-download using any automated device, process or means to access, retrieve, copy or index any of the Site’s data without express written permission from Quilting Dot Com;
  • o. Access, retrieve or index any portion of the Site for purposes of constructing or populating a searchable database of business reviews;
  • p. Attempt to gain unauthorized access via hacking, password mining or any other means, to any part of the Site, third party Content, computer systems or networks connected to the Site;

4. DISCLAIMER:
By using the Site, you understand that we are a digital directory. We are not directly affiliated with any entity or business listing on the Site. Listing on Quilting.com does not imply endorsement or recommendation by Quilting Dot Com. Our Content is for informational and educational purposes only. Accuracy and Reviews are subject to the entities and businesses directly. Details may change without notice. Always verify details directly with the entities and/or businesses.

Quilting Dot Com is not responsible for any transactions and/or correspondence between you and the entity or business(es).
Every effort is made for international compliance. However, listings not based in the United States do so at their own discretion for international law.

5. Your Consent to These Terms & Conditions:
By using this Site and/or Services you implicitly and voluntarily agree to these Terms & Conditions as stated herein.

6. Changes To These Terms & Conditions:
We reserve the right to change, amend, or otherwise alter these Terms & Conditions at any time without notice to you. When changes are made to these Terms & Conditions, we will update the “Updated on” date at the bottom of this page. If you do not agree with these Terms & Conditions, please do NOT use our Site, read or implement its Content.

7. Links to Third-Party or External Websites:
The Site contains and includes website URL links to third-party or external websites. Typically, these URL links are provided so that you may directly access a site that contains relevant information. Please note we are not liable for any of the information contained on or within the third-party or external websites. We are not responsible for the way they handle your personal information, whether they have a privacy policy, or any information you provide to them by visiting their website. You are responsible for reading and agreeing to, or expressing disagreement with, the external website’s privacy policy or terms & conditions.

8. Intellectual Property Ownership:
The Site and its Content are intellectual property solely owned by Quilting Dot Com. The Site and its Content are protected by United States copyright and trademark laws, as well as state intellectual property laws. Any violations of this term, and all terms contained herein, will be legally pursued to the fullest extent permitted by law.

9. Representations and Warranties
We are under no obligation to enforce these Terms on your behalf against another User. While we encourage you to let us know if you believe another User has violated the Terms, we reserve the right to investigate and take appropriate action at our sole discretion.

10. Our Limited License to You:
If you view, access, or Purchase the Site, Services, and/or Products, you are considered our Limited Licensee (“Licensee”). As a Licensee, you agree and understand that the Site, Services, and/or Products have been written, created, drafted, invented, and developed by us after a significant investment of time, money, education, hard work, and brainpower. The Site, Services, and/or Products are extremely valuable to us, both professionally and personally, and we take the protection of our Site, Services, and/or Products very seriously.

You may not use the Site, Courses, Services, and/or Products in any manner that is unauthorized, improper, against these Terms & Conditions, or our Privacy Policy, or which violate U.S. or International intellectual property laws unless authorized by us in writing beforehand.

11. Your License to Us:
By commenting on the Site, or submitting documents to Quilting Dot Com via contact form, email, or social media, you represent that you are the lawful owner of said documents, statements, and/or the information they contain. You grant us a license to use your comments or submissions in any way we see fit, as it relates to our business purposes.

12. Purchase & Access Terms:
During the course of your use and/or Purchase from the Site, Services, and/or Products, you agree and understand that you cannot distribute, copy, forward, and/or share information prohibited by these Terms & Conditions. You also agree and understand that you are to take all necessary steps to make sure that you do not inadvertently share or distribute said materials, including, but not limited to, protecting your password (if any) to the Site to access your account and dashboard. Any violations of these Terms & Conditions will be legally pursued to the fullest extent permitted by law.

13. Sharing the Site & Its Content:
Businesses own their names, logos and images listed on their individual listings on the Site. Said businesses may share their owned information from the Site for commercial purposes. However, we ask that you link directly to the Site. You are required to give us and the Site credit by linking to the Site and its Content if you share it on social media or your own website, including all photographs and screen shots.

General users of the Site may share information from the Site for personal use only. But we ask that you link directly to the Site. You are required to give us and the Site credit by linking to the Site and its Content if you share it on social media or anywhere online, including photographs. Since the Site and its Content are not yours, you may not in any way imply or represent that the Site or its Content are yours or that you in any way created, caused or contributed to the Site or its Content. You may not make claims that you are in any way associated with Quilting Dot Com.

14. No Claims Made Regarding Results:
Any and all current or past testimonials, statements, or examples used by us are simply that: examples. They are not guarantees that you will also experience or receive the same results. Each business, entity and user and his/her circumstance(s) are unique and nothing shall be interpreted as a guarantee that you will experience the same results as another user of the Site.

15. DISCLAIMER – No Warrantees, Guarantees, or Representations Are Being Made:
We do not offer any warranties, of any variety, regarding the Site, Businesses, Services, and/or Entities, in any way. The Site, Businesses, Services, and/or Entities are offered as informational only and without guarantees of any kind, neither express nor implied, to the extent permitted by law.

16. Your Release of Us:
By using the Site or Purchasing, or using Quilting Dot Com’s Services, and Products, you agree to release, forgive, and forever discharge Quilting Dot Com, its subsidiaries, employees, agents, contractors, subcontractors, and affiliates from any and all claims, suits, actions, charges, demands, liabilities, damages, judgments, and/or costs, whether known or unknown, both legal and equitable in any manner.

17. Use of Artificial Intelligence
Quilting.com may use artificial intelligence (“AI”) tools to support certain features and operations of the Site, including but not limited to: verifying and updating business listing information, generating or suggesting content, powering search and recommendation features, and assisting with customer support.

Accuracy of AI-Assisted Content. While we take reasonable steps to review AI-generated or AI-assisted output, AI tools can produce inaccurate, incomplete, or outdated information. Business Content details (such as, but not limited to, hours, status, and contact information) that have been verified or updated using AI assistance may not reflect the most current information available from the business itself. We do not guarantee the accuracy, completeness, or reliability of any AI-assisted content on the Site.

No Reliance. You should independently verify any information you intend to rely on — particularly business hours, location, availability, and contact details — directly with the relevant business before making plans or commitments based on it.

No Liability. To the fullest extent permitted by law, Quilting Dot Com is not liable for any loss, damage, or inconvenience arising from inaccuracies in AI-generated or AI-assisted content, or from reliance on such content.

Reporting Errors. If you believe a listing or other content on the Site is inaccurate, please contact Help Desk at info@quilting.com or use the Site Contact Form and reference the relevant Business listing so we can investigate and correct it.

Changes to AI Features. We may add, modify, or discontinue AI-powered features at any time without prior notice.

18. Errors & Omissions:
Every effort is made to provide up-to-date accurate information both on the Site and through our services. However, due to the complexity of the issues we cover, Quilting Dot Com does not and cannot warrant, represent, or guarantee that such information is free from errors, accurate, or up-to-date at all times. You should do your due diligence, research, or consult with each business and/or entity directly to ensure that all information you receive, act upon, or rely on from this Site and/or from our services is accurate and up-to-date.

19. Nonprofit Organization Discount
Quilting.com offers a reduced membership rate to qualifying Organizations. Eligibility for and continued participation in the Nonprofit Discount Program is subject to the following terms.

Eligibility and Verification: To qualify for the nonprofit rate, an Organization must hold recognized nonprofit or charitable status under the laws of its country of registration and provide documentation verifying that status prior to any discount being applied. Acceptable documentation includes:

  • a. United States: A current IRS Determination Letter confirming 501(c)(3), 501(c)(6), or other applicable tax-exempt status, or equivalent documentation issued by a U.S. state authority.
  • b. All other countries: Official government-issued documentation confirming nonprofit, charitable, or equivalent tax-exempt status under the laws of the organization’s country of domicile (e.g., registered charity certificates, ministry approvals, or equivalent).

Documentation must be submitted in English or accompanied by a certified translation. Quilting.com reserves the right to request updated or additional documentation at any time.

Our Right to Deny, Modify, or Revoke Discount Status: Quilting.com reserves the right, in its sole discretion and at any time, to:

  • a. Deny a nonprofit discount application for any reason;
  • b. Modify the discount rate, eligibility requirements, or terms of the Nonprofit Discount Program; or
  • c. Revoke an Organization’s nonprofit discount status, including for existing accounts.

Where a discount is revoked, the Organization’s membership will revert to the standard rate applicable at that time. Notice will be provided where reasonably practicable, but Quilting.com is not obligated to provide advance notice prior to revoking nonprofit status.

Misrepresentation. Organizations are required to provide truthful and accurate information in connection with any application for nonprofit discount status. If Quilting.com determines, in its sole discretion, that an Organization has misrepresented its nonprofit status or provided false, fraudulent, or misleading documentation, Quilting.com reserves the right to immediately terminate that Organization’s membership without notice. No refunds will be issued for any fees paid prior to termination. Quilting.com further reserves the right to pursue any remedies available under applicable law.

20. Our Cancellation and Refund Policy:
Cancellation. You may cancel Your Quilting.com membership at any time by accessing Your account settings or by contacting our Sales desk directly at sales@quilting.com. Upon cancellation, Your membership will remain active through the end of the current paid membership period. At that time, the membership will expire and will not automatically renew. No further charges will be applied following cancellation.

No Refunds. All membership fees paid to Quilting.com are non-refundable. Quilting.com does not issue full or partial refunds for any unused portion of a membership period, including but not limited to cancellations made prior to the end of the current membership period, unused features or services, or changes in membership plan.

You are responsible for managing Your own cancellation prior to the next renewal date to avoid being charged for an additional membership period. Fees charged for a renewal period that has already processed are non-refundable.

21. ARBITRATION CLAUSE:
If you have any complaint or should any issue arise in the use of the Site or Quilting Dot Com’s, Services, and/or Products, please contact us directly first by emailing our Help desk at admin@quilting.com. If you are a Quilting.com account holder, any demand filed by you initiating arbitration must include the primary email address associated with your Quilting.com account, as well as any profile associated with that Account that is controlled by You.

However, if we are unable to amicably resolve your dispute in that manner, you agree that you and Quilting Dot Com shall submit your dispute to binding arbitration with the American Arbitration Association, before an arbitrator that is mutually agreed upon, in accordance with the American Arbitration Association’s (“AAA”) rules.

Claims Not Subject to Arbitration. You and Quilting Dot Com each retain the rights to: (i) have any claims resolved in small claims court on an individual basis within the scope of such court’s jurisdiction; (ii) have any claim, controversy, or cause of action arising from any act in furtherance of a person’s right of petition or free speech under the United States Constitution or the Nevada Constitution resolved in state or federal court; and (iii) bring an action in state or federal court to protect intellectual property rights (like patents, copyrights, moral rights, trademarks, and trade secrets and other confidential or proprietary information, but not privacy or publicity rights).

Jury Trial Waiver: BY AGREEING TO THIS TERM, YOU HEREBY AGREE AND FULLY UNDERSTAND THAT YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL IN COURT, which would otherwise be available to you if not for this Arbitration Clause. Should any arbitration hearing need to be held, it shall be held within 50 miles of Reno, Nevada, USA.

Class Arbitration and Collective Relief Waiver. YOU AND QUILTING DOT COM ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT ALLOWED BY LAW: ANY ARBITRATION MUST BE RESOLVED ON AN INDIVIDUAL BASIS IN OUR RESPECTIVE INDIVIDUAL CAPACITIES, AND NOT AS A CLASS OR COLLECTIVE ACTION.

NOTWITHSTANDING THIS ACKNOWLEDGEMENT AND AGREEMENT, ANY ARBITRATION INVOLVING YOU MAY PROCEED ON A CONSOLIDATED BASIS IF AND ONLY IF QUILTING DOT COM PROVIDES ITS CONSENT TO CONSOLIDATE IN WRITING.

If the arbitrator issues an award and a judgment is made, the judgment will be binding and will be entered in court in the State of Nevada. The only award that can be issued to you is a refund of any payment made to Quilting Dot Com for the applicable Product or Service. You are not permitted to seek additional damages, including consequential or punitive damages.

22. Consent to Governing Law:
These Terms & Conditions, and any dispute arising out of it, shall be governed by the laws of the State of Nevada.

23. Consent to Jurisdiction:
You hereby irrevocably consent to the exclusive jurisdiction and venue of any Federal Court in the United States District Court for the District of Nevada or a state court located within the State of Nevada in connection with any matter arising out of these Terms & Conditions, Privacy Policy, or as a result of your use, or Purchase from the Site, Services, and/or Products.

24. Consent to Service:
You hereby irrevocably agree that process may be served on you in any manner authorized by the Laws of the State of Nevada for such persons, and you waive any objection which you might otherwise have to service of process under the laws of the State of Nevada.

25. Payment & Purchases:
When you Purchase one of our Services, and Products from us or the Site, you may pay by credit card. By doing so, you give Quilting Dot Com permission to automatically charge your credit card for payment. You will receive an electronic receipt following your Purchase, which you should retain for your records.

By electing the installment option at checkout, you agree that Quilting Dot Com has permission to automatically charge, without checking with you before each installment transaction is charged, the amount due on the date(s) agreed upon at checkout.

If your payment method fails or is otherwise declined, you will be removed from, or canceled from having access to our Services, and Products. Please note, in the event your payment method is declined at any time, you will be removed from, or canceled from having access to our Services, and Products.

We do not accept any chargeback threats (real or threatened). If any chargebacks are placed on a Purchase of our Services, and Products, we will report said incident to the major credit reporting agencies. Doing so could have a negative impact on your credit report and/or credit score. Should we need to do so and you would like to have this report removed from your credit report, please contact us to arrange for payment owed. Once payment owed is received, we will make the appropriate reports to the credit agencies.

Payment processing companies may have different privacy policies and practices than we do. We are not responsible for the policies of the payment processing companies. As with any online purchase, there are circumstances beyond our control which may compromise your credit card or payment method. We are not liable or responsible for any of those circumstances.

You hereby release us from any and all damages related to your payment or use of our payment processing companies in which you incur and further agree not to assert any claims against us or them for any damages which arise from your Purchase or use of our Site and its Content.

26. Limitation of Liability:
THE SITE AND SITE CONTENT ARE MADE AVAILABLE TO YOU ON AN “AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE” BASIS, WITH THE EXPRESS UNDERSTANDING THAT QUILTING DOT COM MAY NOT MONITOR, CONTROL, OR VET USER CONTENT OR THIRD PARTY CONTENT. AS SUCH, YOUR USE OF THE SERVICE IS AT YOUR OWN DISCRETION AND RISK. QUILTING DOT COM ENTITIES MAKE NO CLAIMS OR PROMISES ABOUT THE QUALITY, COMPLETENESS, ACCURACY, OR RELIABILITY OF THE SERVICE, ITS SAFETY OR SECURITY, INCLUDING WITHOUT LIMITATION THE SECURITY OF YOUR DATA, OR THE SERVICE CONTENT.

ACCORDINGLY, QUILTING DOT COM IS NOT RESPONSIBLE OR LIABLE IN ANY WAY FOR ANY AND ALL DAMAGES YOU RECEIVE DIRECTLY OR INDIRECTLY FROM YOUR USE OR PURCHASE FROM OUR SITE, SERVICES, AND/OR PRODUCTS. WE DO NOT ASSUME LIABILITY FOR DAMAGES, INJURIES, HARM, DEATH, MISUSE OF (OR FAILURE TO PROPERLY USE) INFORMATION OR DOCUMENTS, DUE TO ANY ACT, OR FAILURE TO ACT, BY YOU. IN NO EVENT SHALL WE BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.

IN ADDITION, QUILTING DOT COM IS NOT LIABLE TO YOU FOR ANY PERSONAL INJURY, LOSS OR DAMAGE THAT MIGHT ARISE, FOR EXAMPLE, FROM THE SERVICE’S INOPERABILITY, DEPLETION OF BATTERY POWER OR OTHER IMPAIRMENT OF DEVICES USED TO ACCESS THE SERVICE, SERVICE UNAVAILABILITY, SECURITY VULNERABILITIES OR FROM YOUR RELIANCE ON THE QUALITY, ACCURACY, OR RELIABILITY OF THE BUSINESS LISTINGS, RATINGS, REVIEWS (INCLUDING THEIR CONTENT OR OMISSION OF CONTENT, ORDER, AND DISPLAY), METRICS OR OTHER CONTENT FOUND ON, USED ON, OR MADE AVAILABLE THROUGH THE SITE.

YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY IN CASE OF DISSATISFACTION WITH THE SERVICE, RELATED SERVICES, OR ANY OTHER GRIEVANCE SHALL BE YOUR TERMINATION AND DISCONTINUATION OF ACCESS TO, OR USE OF THE SITE.

QUILTING DOT COM’S MAXIMUM AGGREGATE LIABILITY TO YOU FOR LOSSES OR DAMAGES THAT YOU SUFFER IN CONNECTION WITH THE SITE OR THESE TERMS IS LIMITED TO THE GREATER OF (i) THE AMOUNT PAID, IF ANY, BY YOU TO QUILTING DOT COM IN CONNECTION WITH THE SERVICE IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (ii) $100.

27. Defense & Indemnification
You shall, at all times, indemnify, defend, and hold harmless Quilting Dot Com, Rona Herman, and all of our shareholders, officers, members, affiliates, contractors, subcontractors, directors, assignees, employees, and licensees from and against all losses, damages, injuries, delays, deaths, lost profits, and expenses arising out of any proceeding (a) brought by either a third-party or by Quilting Dot Com and Rona Herman (b) arising out of your breach of your obligations, representations, warranties, or covenants under these Terms & Conditions or the Privacy Policy; and (c) arising out of any alleged breach or negligence said to have been committed by us.

28. Termination of Your Use
At our sole discretion, we are permitted to terminate your use or access to the Site, Services, and/or Products if you abuse, violate, or breach any of these Terms & Conditions, Privacy Policy, or any other terms to which you have agreed to.

29. Entire Agreement
These Terms & Conditions and Privacy Policy constitute the entire agreement between you and us with respect to the Site, Services, and/or Products, and they supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us with respect to the Site, Services, and/or Products.

30. Severability
The provisions of these Terms & Conditions are severable, and the invalidity or unenforceability of any provision shall not affect the validity and enforceability of any other provision herein. If any paragraph, section, subsection, sentence, or clause of these Terms & Conditions are rendered illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability shall have no effect on these Terms & Conditions as a whole or on any other paragraph, section, subsection, sentence, or clause herein.
